1. HOW TO ENTER: Beginning at 9:00 a.m. Eastern Time ("ET") on November 10, 2008 until 5:00 p.m. ET on December 29, 2008 (the "Sweepstakes Period"), you may enter the FLN Holiday Gift-A-Rama Sweepstakes (the "Sweepstakes") online by visiting the Fine Living web site (www.fineliving.com) (the "Website") and completing the online entry form (limit one (1) online entry per valid email address, per eligible person per day). Once you fill out the entry form, you will either be directed to a screen that reads, "Congratulations, you are an instant winner! You will be contacted about your prize in approximately seven (7) days." or "Sorry, you are not an instant winner. Please try again." One entry per day per person and per valid e-mail address. All entries must be received by 4:59:59 p.m. ET daily throughout the Sweepstakes Period to be eligible. Any attempt by any participant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant's plays and that participant may be disqualified.

2. PRIVACY: When you enter at the Website, you may be asked to consent to receive promotional e-mails and reminders for upcoming Fine Living promotions and information about Fine Living. Consenting to receive such e-mails is optional and does not have to be agreed to in order to be eligible to enter the Sweepstakes and does not improve your chances of winning. In the event you do consent to receive these e-mails, the use of such e-mails shall be subject to the privacy policy of Scripps Networks, LLC, which is available on the Website.

3. ELIGIBILITY: To enter the Sweepstakes, you must be a legal resident of the fifty (50) United States or the District of Columbia, be 18 years of age or older at the time of entry, and have a valid e-mail address and internet access prior to November 10, 2008. Sweepstakes is void in Puerto Rico and where restricted or prohibited by law. Entrants who have won a prize in any Scripps Networks, LLC promotion in the 90 days prior to the commencement of the Sweepstakes are ineligible. The Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the United States. Employees of Scripps Networks, LLC d/b/a Fine Living ("Main Sponsor"), iGourmet.com, Nimli.com, Proflowers.com, RushGideon.com, and Organize.com., Jockey International, Inc., and Hot House, Inc. ("Sweepstakes Administrator"), all prize suppliers, and any other participating sponsors, their affiliated companies, parents, subsidiaries, website developers and administrators, and advertising and promotion agencies, (collectively with Main Sponsor, the "Sweepstakes Entities"), and their immediate families (spouses, parents, siblings, children and each of their respective spouses) and members of their households, are not eligible to participate in this Sweepstakes. Entries generated by robots or scripts are considered to be a direct violation of these Official Rules and will result in immediate disqualification of any and all associated entries.

4. HOW WINNERS WILL BE DETERMINED: Winners will be determined at random through a computer-generated algorithm. Main Sponsor's decisions with respect to the First Prize Winners, and other matters pertaining to the Sweepstakes shall be final and binding. The potential First Prize Winners will be required to sign an affidavit of eligibility and release of liability and publicity (where permitted), and return same, properly executed, within ten (10) days of date of issuance of prize notification. If Main Sponsor is unable to contact a potential prize winner within three (3) days from date of first notification attempt, if a potential winner fails to complete and return all requested forms by the specified date, if a potential winner is found to be ineligible, or if a potential winner fails to comply with the Official Rules, his/her prize will be forfeited and, at Main Sponsor's discretion, an alternate winner may be selected.

By entering into the Sweepstakes, all entrants consent to the use of their name, photograph, likeness, biography, voice and/or video for advertising and promotional purposes, including online announcements, worldwide and without limitation and without additional compensation, notification or permission, except where prohibited by law. The odds of winning a prize depends upon the number of eligible entries received for the applicable drawing.

5. PRIZES: First Prizes: There are Fifty-Four (54) First Prize Instant Prizes, which are set forth as follows:

Total ARV of all prizes in Sweepstakes: $6,196.68

All other expenses not specifically identified as included in any prize are the sole responsibility of the respective prize winner. All costs, taxes, fees, and expenses associated with any element of a prize not specifically addressed above are the sole responsibility of each respective winner. All federal, state and local taxes on prize are the respective prize winners' responsibility. Individual winners will be issued a Form 1099 for any prize greater than $600, if applicable. The specifics of all aforementioned elements of any prizes in the Sweepstakes shall be solely determined by Main Sponsor. Some restrictions may apply. No substitution, transfer of any prize (or any part of a prize package) or cash alternative permitted, except as determined by Main Sponsor in its sole discretion, in which case a prize of equal or greater value will be awarded. All prizes will be awarded.

6. GENERAL: By accepting prize, prize winners grant to Main Sponsor the right to use their names, likenesses, hometown and biographical information, for any lawful purpose, without further permission or compensation, except where prohibited by law. By participating in this Sweepstakes, entrants agree to abide by and be bound by these Official Rules, and understand that the Sweepstakes results are final in all respects. Main Sponsor is not responsible for incorrect or inaccurate entry information, whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in this Sweepstakes. By accepting prize, prize winners release Main Sponsor, its parent companies, officers, directors, subsidiaries, divisions, advertising, production and promotion agencies from any and all liability for any loss, harm, damages, costs or expenses, including without limitation, property damages, arising out of participating in this Sweepstakes or from the acceptance, possession, or use or misuse of any prize, and claims based on publicity rights, defamation, or invasion of privacy and merchandise delivery. Main Sponsor has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

All potential winning entries are subject to verification by Main Sponsor, whose decisions are final and binding. An entrant is not a winner of any prize, even if the instant win message should so indicate, unless and until entrant's eligibility and the potential winning entry has been verified and entrant has been notified that verification is complete. Main Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process. Any entry that occurs after the system has failed for any reason is deemed defective and is void and will not be honored.

7. LIMITATIONS OF LIABILITY: This Sweepstakes is governed by U.S. law and is subject to all federal, state and local laws and regulations. Void in Puerto Rico, outside the U.S. and where prohibited by law. Entry materials that have been tampered with or altered are void. If, in the Main Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, Main Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and void any entries submitted fraudulently, to modify or suspend the Sweepstakes, or to terminate the Sweepstakes and conduct a random drawing to award the prizes using all eligible, non-suspect entries received as of the termination date. In the event the Sweepstakes is terminated prior to the stated expiration date, notice will be posted on the Website. Any attempt by an entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws and should such an attempt be made, Main Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. In the event of a dispute as to the identity of the winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry and he/she must comply with these Official Rules. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

All prize winners and entrants also agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes. Sweepstakes Entities are not responsible for lost, late, misdirected, undeliverable or incomplete on-line entries due to system errors, failures or any technical malfunctions which may limit an entrant's ability to participate. If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the promotion, then Main Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Sweepstakes Entities are not responsible for any typographical or other printing errors in the offer or administration of the Sweepstakes, including, but not limited to, errors in the printing of posting of the offer or in these Official Rules, the selection or announcement of the winner, or the distribution of any prizes.

8. WINNERS' LIST: After January 5, 2009, you may obtain the names of the prize winners by visiting the Website. Results of the drawing will be removed from the Website on or about January 23, 2009.
